1. INTRODUCTION

Welcome to Eshopzon, an online marketplace platform owned and managed by INK OF KNOWLEDGE.
These Seller Terms & Conditions (“Terms”) govern your registration, listing, and selling of products on www.eshopzon.com.
By creating a seller account or listing products, you agree to be bound by these Terms, our Vendor Agreement, and all applicable policies published on the platform.

2. ELIGIBILITY

1. Only individuals or businesses legally authorized to sell goods in India may register as Sellers on Eshopzon.
2. The Seller must possess a valid GST registration (if applicable) and comply with all tax laws and business licensing requirements.
3. Sellers must provide accurate business details, including PAN, Bank Account, Address, and Contact Information.

3. SELLER ACCOUNT AND RESPONSIBILITIES

1. The Seller shall create an Eshopzon Seller Account and provide correct and up-to-date information.
2. The Seller is responsible for maintaining the confidentiality of login credentials and for all activities conducted through their account.
3. Eshopzon reserves the right to suspend or terminate a Seller’s account in case of violation of these Terms, fraudulent activity, or policy breach.
4. Sellers must promptly update product availability, prices, and inventory.

4. PRODUCT LISTINGS

1. Sellers are responsible for uploading accurate product information, including:
   
   • Product name, description, and specifications
   • Clear product images (provided by the Seller)
   • Correct pricing, GST, and SKU details
2. Misleading, incorrect, counterfeit, or duplicate listings are strictly prohibited.
3. Products must comply with all legal, safety, and labeling requirements applicable in India.
4. Eshopzon reserves the right to review, approve, or reject any listing before or after publication.

5. PACKAGING AND DISPATCH

1. The Seller shall ensure safe, tamper-proof, and professional packaging to prevent damage during transit.
2. All packaging material costs shall be borne by the Seller.
3. Eshopzon will share shipping labels for each order. It is the Seller’s responsibility to print and affix these labels correctly.
4. Orders must be dispatched promptly after pickup notification to ensure timely delivery.
5. Sellers shall not include any marketing materials, personal contact details, or third-party branding inside the package.

6. SHIPPING AND LOGISTICS

1. Eshopzon will handle shipping and logistics through its authorized courier partners.
2. Shipping and return costs will be borne by Eshopzon, unless otherwise specified.
3. The Seller agrees to cooperate with courier agents for timely handover of packages.
4. Tracking information will be automatically shared with customers once dispatched.

7. RETURNS AND REFUNDS

1. Returns will be accepted as per Eshopzon’s Refund & Return Policy.
2. If a product is returned undamaged, the Seller must accept the return and restock or refund as directed.
3. If a product is damaged during transit (not due to packaging issues), Eshopzon will credit the full sale amount to the Seller.
4. If damage is found due to poor packaging, the Seller will bear the loss.
5. For fully refunded orders, ownership of the product transfers to Eshopzon.

8. PRICING AND COMMISSIONS

1. Sellers must set fair and competitive pricing in compliance with Eshopzon’s pricing guidelines.
2. Sellers cannot change product prices without prior consultation and approval from Eshopzon.
3. Eshopzon’s platform fees, service charges, and commissions will be deducted before final payout.
4. The Seller will receive payment within 30 days of sale confirmation, after deductions and taxes.

9. PAYMENTS AND TAXES

1. All payments to Sellers will be made via bank transfer or UPI as registered in the Seller Account.
2. Eshopzon shall issue payment statements showing sale value, deductions, and applicable GST/TDS.
3. The Seller is responsible for remitting and reporting their taxes as required under Indian law.

10. PROHIBITED PRODUCTS

Sellers may not list or sell the following items on Eshopzon:

• Counterfeit or pirated goods
• Weapons, drugs, or controlled substances
• Adult or obscene materials
• Expired or unlicensed products
• Items violating Indian law or Eshopzon policy

Violation of this clause may result in permanent suspension and legal action.

11. INTELLECTUAL PROPERTY RIGHTS

1. Sellers must have the legal right to sell the products listed.
2. Any product violating third-party copyrights, trademarks, or patents will be removed immediately.
3. Eshopzon may suspend accounts and share information with legal authorities in cases of intellectual property infringement.

12. SELLER CONDUCT

Sellers agree not to:

• Manipulate prices or create fake orders.
• Contact customers directly outside the Eshopzon system.
• Post false information or reviews.
• Engage in any activity that damages Eshopzon’s reputation or customer trust.

Violation may result in delisting, termination, or permanent ban.

13. LIABILITY AND INDEMNIFICATION

1. The Seller shall indemnify and hold Eshopzon (INK OF KNOWLEDGE) harmless from any claim, damage, or loss arising out of:
   
   • Defective or misrepresented products
   • Customer disputes due to Seller negligence
   • Breach of these Terms or applicable laws
2. Eshopzon shall not be responsible for indirect or consequential losses suffered by the Seller.

14. ACCOUNT SUSPENSION AND TERMINATION

Eshopzon reserves the right to suspend or terminate any Seller account, without prior notice, if:

• False or misleading information is provided,
• Policy violations occur,
• Repeated customer complaints are received, or
• Legal or compliance issues are identified.

15. GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of India.
All disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Sabarkantha, Gujarat (City/State).

17. ACCEPTANCE

By registering as a Seller or listing any product on Eshopzon, you hereby acknowledge that you have read, understood, and agreed to these Seller Terms & Conditions, the Vendor Agreement, and other Eshopzon policies including Refund, Payment, and Shipping Policies.
